The case arose from a real estate development project known as Sunrise Beach Condominium, located in Ocean City, Maryland. A member of the limited liability company that developed the project filed suit against the company and the other members, seeking a portion of profits from the deal. The defendants were granted summary judgment on a number of issues and claims, and the plaintiff's claims were ultimately dismissed in their entirety based on the forfeited corporate charter of the plaintiff corporation.
