Dodd-Frank's Mandatory Executive Compensation Clawback


A review of the executive compensation clawback provisions in the recently-enacted Dodd-Frank financial reform legislation, including a checklist of issues for boards of directors and compensation committees to consider in developing the required clawback policy -- review of existing policies, if any, as well as employment and severance agreements, compensation committee charters, and indemnification provisions; review of state wage acts; reassessment of compensation policies and practices in light of clawback requirement; and consideration of appropriate corporate personnel to implement and enforce clawback policies.
