Either as stand-alone agreements, or as components of larger transaction documents or structures, intellectual property licensing and the due diligence associated therewith can pose a bit of a minefield - this paper is intended to provide a brief overview of some of the key issues in the drafting of intellectual property license agreements or license provisions, determination of their appropriate scope and structure, to minimize ambiguity and dispute.
