New Delaware Chapter 11 Filings – Roadhouse Holding Inc. et al.

Roadhouse Holding Inc. and seven of its affiliates, which comprise the Logan’s Roadhouse restaurant chain, have filed chapter 11 petitions before the United States Bankruptcy Court for the District of Delaware (Lead Case No. 16-11819).  The debtors have entered into a Restructuring Support Agreement (the “RSA”) with their Revolving Facility Lenders and the holders of 83.9% of the debtors’ second lien noteholders.  The RSA contemplates the second lien noteholders receiving the equity of the reorganized debtors and, in conjunction with existing first-lien lenders, will provide an exit facility.  The debtors will seek approval of debtor-in-possession financing to be provided by the second lien noteholders which includes up to $25 million in new money and a $50 million roll-up of pre-petition second lien notes.  The petition (including the consolidated list of top 30 creditors) and the first day declaration (to which the RSA is attached) and the docket are available through Donlin Recano.
