On April 12, 2011, we filed a complaint on behalf of two investors in K-Sea Transportation Partners L.P. (NYSE: KSP) (“K-Sea”) with the Court of Chancery of the State of Delaware challenging the fairness of the proposed merger of K-Sea and and Kirby Corporation (NYSE: KEX) (“Kirby”).
The complaint alleged that the directors of K-Sea General Partner GP LLC breached K-Sea's limited partnership agreement and their fiduciary duties to the common unitholders of K-Sea by approving the merger with Kirby.
We were ultimately appointed co-lead counsel with three other firms to represent the class of plaintiffs. A consolidated amended complaint has since been filed on behalf of the class.
