Panelists

Philip Bush (Dallas, Partner - Moderator): Phil has been helping businesses understand and comply with the complex laws governing employee benefit plans and executive incentive programs for over 25 years. He has extensive experience in dealing with the IRS and the Department of Labor and resolving plan compliance issues.

Lori Basilico (Providence, Partner): Lori represents and advises private and publicly held clients with respect to the design and legal compliance of executive compensation programs, equity-based incentive compensation plans, severance and retention plans, tax-qualified plans, welfare plans, fringe benefit plans and ERISA fiduciary and prohibited transaction issues. She also counsels clients regarding compliance with ERISA, the Internal Revenue Code, COBRA, HIPAA, FMLA and other federal and state laws impacting employee benefit plans.

Benjamin Ferrucci (Boston, Partner): Benjamin advises funds, publicly traded and privately held companies, boards and management teams in employee benefits and compensation matters involving retention, incentive and equity plans and negotiates employment, change in control, and non-compete agreements, all in accordance with relevant statutes and regulations, including Internal Revenue Code Sections 409A, 280G, 162(m), and 83. 

Larry Hansen (Chicago, Partner): Larry has more than 30 years of experience in the area of taxation, with emphasis on employee benefits and executive compensation. He has represented national clients in many complex corporate and employee benefits transactions, including plan mergers and terminations. Larry also advises our Firm's litigators on ERISA fiduciary duty and prohibited transaction matters.

Vincent J. Hess (Dallas, Partner): Vince has experience in a wide range of complex commercial litigation and arbitration. He represents large and mid-size companies in software, class actions, managed care and employee benefits, contract, trade secrets, health care, non-competes, securities, commercial real estate, debt collection, franchise, leasing, construction, and environmental issues. 

Jan R. Newsom (Dallas, Senior Counsel): Jan has extensive experience in health care law with a focus on health care regulatory and administrative matters. She concentrates on Medicare and Medicaid reimbursement and compliance issues, HIPAA and HITECH Act obligations, Stark law and fraud and abuse compliance, anti-kickback, illegal remuneration and compensation matters. She also has substantial experience in welfare benefit plan design for insured and self-insured employers as well as for health insurers and HMOs, focusing on managed care and wellness program implementation and liability concerns, administrative matters and dealings with regulatory agencies.

Edward A. Razim, III  (Houston, Partner): Ed has extensive experience in employee benefits and executive compensation, including drafting and implementing employee benefit and executive compensation programs for large and small employers; addressing compliance issues regarding Section 409A of the Internal Revenue Code and various equity compensation plan design matters. Mr. Razim has experience negotiating with the Internal Revenue Service, U.S. Department of Labor and Pension Benefit Guaranty Corporation on a variety of audit and compliance matters.

Stefan P. Smith (Dallas, Partner): Stefan works with both public and private entities to establish and ensure the continued compliance of tax-qualified defined contribution and defined benefit retirement plans, including 401(k)/profit sharing plans, traditional defined benefit plans, money purchase plans, employee stock ownership plans, and cash balance plans.  In addition, Mr. Smith works with all forms of health and welfare plans and executive and equity-based compensation.
