1 Temmuz 2012 tarihinde yürürlüge giren 6102 sayili Yeni Türk Ticaret Kanunu sirket kurulusunda yeni uygulamalari beraberinde getirmistir. Bu degisikliklerin basinda ise esas sermaye taahhütleri, kurucular beyani, degerleme raporlari, yönetim kurulu üyesi ve müdürlerin atanmasi ve buna bagli islemler gelmektedir ki, bundan böyle sirket ana sözlesmelerinin bilincli hazirlanmai önem kazanmaktadir.
