In October 2009, the Securities and Exchange Commission indicated that it likely would not vote this year on the proxy access proposals that it issued in June 2009, and extended the deadline for smaller public companies to comply with the requirements of Section 404(b) of the Sarbanes-Oxley Act.

Pryor Cashman Corporate Associate Michael T. Campoli has written a Legal Update about the current status of the proxy access proposal and the extension for complying with Section 404(b) of the Sarbanes-Oxley Act. The article is entitled SEC Delays Vote on Proxy Access Rules and Grants Extension for Compliance with Section 404(b) of the Sarbanes-Oxley Act.
