Leading law firm Pitmans has acted on behalf of the selling shareholders, Vivienne Watson and Alison Langthorne, on the disposal of the entire issued share capital of Partners in Specialist Care Limited to VHG Management Limited, which completed on 23 December 2010 for an undisclosed consideration. The transaction was led by Pitmans Corporate Partner, Adam Dowdney.

Commenting on the transaction, Vivienne Watson said:

“Alison and I set up Partners in Specialist Care just over 6 years ago and have worked extremely hard to establish it as a premium domiciliary homecare business for adults and children with specialist and complex needs in the North East of England. We were delighted with the advice and support given by Adam Dowdney, Mark Metcalfe and the rest of the team at Pitmans who all worked extremely hard to complete the deal on a very tight timeframe. Adam’s advice was always commercial and astute and we hugely appreciated the time he took to explain certain aspects of the transaction, as this was the first time we have been through such a process.”

“It was very satisfying to conclude the disposal for Viv and Alison in the current challenging market and on a very tight timetable. The deal was not without its complexities, including changes in deal structure that were agreed late in the process, however, due to the commitment of the team at Pitmans, the deal was completed just before Christmas and to the satisfaction of all parties concerned. We wish Viv and Alison all the best for their future; they and Grant Thornton, who provided the corporate finance advice, were a pleasure to work with.”
