China Releases New Rules on Merger Control Review

Recently, China's Ministry of Commerce(MOFOCM) has published a new draft regulation, the Provisional Measures on Assessment of Competitive Effects of Concentration of Business Operators (the “Provisional Measures”). The Provisional Measures outline the basic principles and methodologies for assessing competitive effect of a merger. It reflects MOFCOM’s effort, after having gained some experience in this area, to make its review process more transparent, as the agency is keen to exert greater influence on international transactions. Unfortunately, due to the limited practice in China, the Provisional Measures are sparse of details comparing to the rules applied in the more matured antitrust jurisdictions like the US and EU.
