This article describes the requirements for perfecting a security interest in a securities account, a form of collateral that is increasing being used by borrowers as collateral for commercial loans. The articles also examines in detail the most common elements that should be contained in the three-party control agreement used by lenders to obtain "control" of the securities account. Since most brokers today require lenders to use the broker's form of control agreement, it is essential that loan officers and counsel have a guide as to the critical provisions which should be in such agreements.
