Plaintiff's First Amended Complaint for Damages (Breach of Fiduciary Duty; Corporations Code section 7231)


This is Plaintiff's first amended member-derivative complaint to recover from certain non-profit corporation directors the corporate funds expended by them in pursuing and promoting the now-failed merger of the North San Diego County Association of REALTORS with the San Diego Association of REALTORS. The corporation - the North San Diego County Association of REALTORS - is a nominal defendant in this action, but is also the real party in interest because the recovery of wrongfully expended corporate funds is being sought on behalf of the corporation and not on behalf of the named plaintiff.
