Legal Memorandum in Wage Payment Case: Oral and Written Terms


This memorandum was filed in a wage payment case involving unpaid commissions. The promise to pay commissions is comprised of oral terms and written terms. Defendant moved for summary judgment on grounds that writing did not contain all material terms. This memorandum on behalf of my client (Plaintiff) addresses an agreement in which oral and written terms are part of the alleged contract. Discusses several sections of restatement (Contract) of laws, including parole evidence issues. Ratification is also an issue. It is a federal court case, although South Carolina law applies to the discpute.
