Appellate brief based on breach of letter of intent in supply chain dispute


This is an appellate brief filed in an appeal against a verdict of $2 million based on the breach of a Letter of Intent which had been entered into to determine whether one of the parties would be awarded a valuable business opportunity, namely supplying a specially designed actuator to be used in a pedal system to be sold by the other party, a Tier 1 supplier in the automotive industry. At issue was whether the Letter of Intent was a binding contract or merely a non-binding pre-contractual agreement. The case was settled while the appeal was pending.
