Practice/Organization Description
I am an attorney specializing in private investment funds, including hedge funds, hybrid funds, and private equity funds. I work with my clients to structure funds in a manner that recognizes both the nature of the underlying investments and the needs of the prospective investors. In addition to formation work, I advise on seeding agreements (where I have represented both banks and funds providing seed capital and managers being seeded), managed account agreements, selling agreements, adviser registration, marketing materials, SEC filings, management company structuring, and ongoing legal and regulatory matters.
I also have significant experience with derivatives and structured products linked to the performance of hedge funds, such as principal protected hedge fund linked notes, and have represented both the end-users and issuers of such products.
