Practice/Organization Description

Experience: Has practiced law in New York State since 1969, specializing in commercial matters with an emphasis on contracts involving business relationships and financing, sales and distribution agreements and licensing, employment agreements. Commercial clientèle includes small and medium size manufactures of various products, metal extruder's, and service providers in medical instruments and technology, advertising, advertising production, self-storage development and self-storage facility operation, commercial real estate and restaurant operation. These matters emphasized contract law, corporate law, licensing law, franchise law, real estate law, employment law and regulatory law tailored to the unique needs of the clientèle, securities law and tax law as well as enforcement and interpretation of business agreements and contracts. Has negotiated and drafted numerous business purchase agreements, shareholder and partnership agreements, licensing agreements, financing agreements and standard form agreements tailored to the unique needs of the clientèle. Has served on numerous boards including the National Board of Governors, Self Storage Association; Board of Governors, New School for Social Research; Board of Ethics, Town of New Castle, New York; and the Westchester County Airport Advisory Board.

Alternative Dispute Resolution Experience: As a sole arbitrator, panel member and panel chair he has heard cases involving a broad range of business issues involving business dissolutions, consumer contracts, construction contracts, computer technology, insurance contracts, credit and loan agreements, employment contracts and disputes involving securities with an emphasis on claims against securities brokers and underwriters. Has represented numerous not-for-profit organizations. As an advocate has represented these clients in arbitrations involving an assortment of commercial disputes requiring specialized knowledge of the industries of the clientèle as well as disputes among business co-owners such as partners, shareholders and LLC members involving valuations and dissolutions. Since 1999, has served as an adjunct member of the Regents Review Committee, an administrative law appellate panel that primarily hears appeals from professional misconduct decisions by state boards for the professional groups that are licensed and regulate by the New York State Department of Education. Authored numerous articles on arbitration and mediation and frequently lectures on arbitration and mediation
