Practice/Organization Description
Private Placement Advisors represent entrepreneurs and small businesses in structuring private offerings to raise capital. We also represent investors as plaintiffs in deals gone sideways. We specialize in private placement law, both as litigators making use of California’s Blue Sky Laws and as a transactional lawyers helping structure private offerings to ensure compliance with Federal and state securities law.
Douglas Slain and Jonathan Matthews both attended Stanford Law School (29 years apart) and now both specialize in transactional law on a national level while maintaining a local criminal law defense practice.
Slain has been involved in real estate private placements since the 1970's when he practiced at Pillsbury, Madison working with private and public real estate limited partnerships. Slain pioneered a SBA loan guarantee program for redevelopment agencies to finance commercial condominium regimes, working with Ernie Hahn & Co. and Laney Thornton.
Later Slain founded and published a number of authoritative national law reporting services, including Insurance Litigation Reporter (with then Seattle insurance litigation heavy weight William Gates, Sr. on its first editorial advisory board!) as well as Professional Liability Reporter, Construction Litigation Reporter, Verdicts & Settlements, and Medical Liability Reporter.
Slain has served as a two-term chairman on the American Bar Association's largest professional responsibility committee; he has also served as a ABA rule of law consultant to the Republic of Latvia's Ministry of Economy, helping draft secured transaction legislation; he spent a semester as a adjunct clinical law professor at Stanford Law School.
