Noreen Weiss Adler advises a diverse client base on a range of corporate and transactional projects, from launching new business units and divisions to steering high level, complex domestic and cross border finance and capital market transactions, and business development projects. Noreen also works with early stage and emerging companies, and website portals, in the newly-developing accredited investor crowdfunding space.
For over twenty years Ms. Weiss Adler has advised senior management and Boards of Directors on a wide variety of transactions including US and global public and private debt and equity offerings, private M&A, cross border joint ventures, television programming development and global distribution and licensing, Securities Law compliance, corporate governance and corporate restructurings. Her clients have included multinational conglomerates in television and film, consumer products and retail, investment banks, banks, oil and gas companies, software design and Internet-based companies.
Noreen’s corporate development expertise encompasses balancing the governanace and tax requirements of multiple multinational parties while juxtaposing local law and regulatory considerations. She is able to strike the necessary balance to devise complex multi-jurisdictional ownership structures that meet her client’s needs and satisfy all constituents and multi-jurisdictional legal demands. Her finance expertise includes US public equity and debt offerings in the primary and secondary markets, side-by-side Reg S offerings and Rule 144A resales of securities, private equity investments, various types of underwriting and subscription agreements, and voting and shareholder agreements. Noreen has provided General Counsel services including the oversight of corporate governance matters, best practices and legal risk management, as well as general advice on contracts governing the day-to-day legal needs of a going concern.
A former in-house counsel, Noreen understands the practical business challenges that law department leaders face each and every day, and she brings this business-minded perspective to all her client matters. Additionally, her experience practicing for several years in Europe and Asia provides valuable insights when serving clients in the international context.
Prior to joining Barton LLP, Noreen served as both outside and in-house counsel. She practiced with Cleary Gottlieb Steen & Hamilton in the New York, London and Tokyo offices where she specialized in domestic and cross border corporate finance, capital markets, corporate restructuring and M&A. Noreen subsequently became the Senior Counsel for International Corporate Development and Network Operations of HBO, a Division of Time Warner, where she teamed with the senior management working group to launch HBO’s overseas channels in Europe and Asia. Immediately prior to joining Barton LLP, Noreen ran her own boutique corporate and international law practice.
