HSR Act Filing Threshold, Civil Penalty Maximum, and Interlocking Directorate Threshold Revisions

On February 15, 2019, the US Federal Trade Commission (FTC) announced revisions to the jurisdictional thresholds for the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act), which will become effective on April 3, 2019 and apply to transactions consummated on or after the effective date. The HSR Act requires the FTC to revise the thresholds annually based on changes in the gross national product.
