Practice/Organization Description

Delaney Law is a boutique New York City law firm providing outside general counsel services to small business owners. From resolving conflicts to growing your business, we are a high impact advocate whose aim is to give our clients the ability and freedom to concentrate on what they do best.

Founded by Don Delaney, a highly experienced attorney, and business school graduate, this law firm is uniquely positioned to provide first-rate legal counsel with an eye toward the real world consequences for a business. Don has been practicing law for nine years. He has substantial experience in the area of civil litigation, defending and prosecuting a variety of matters. In the process, he has had the extraordinary opportunity to litigate against many of the best law firms in the country. He’s developed strong writing and analytical skills, and has deposed numerous senior executives in the U.S. and abroad. Don’s experience in the courtroom is also significant. He has successfully first-chaired several civil and criminal jury trials, in both federal and state court, and has argued major motions, including motions for summary judgment and motions to dismiss.

In addition to his litigation experience, Don has considerable business law experience. He began his legal career as an associate in the corporate law department of a major international law firm. In that capacity, he worked on general corporate, finance, real estate and securities regulation matters, including public and private merger, acquisition, divestiture, financing transactions and workouts. Today, Don blends his transactional skill with his experience as a litigator to provide integrated, practical legal advice.

Disputes in business are inevitable. This is an unfortunate fact, but the good news is that most disputes can be resolved without an excessive amount of time or money. Straightforward negotiations can often bring about an amiable resolution, even though it is too often viewed as a remedy of last resort. Litigation, collaborative, arbitration and mediation are also potential avenues for dispute resolution, and the Firm has extensive experience in each of these methods. Many disputes can be resolved through an intelligent and strategic approach, thereby allowing a client to save money, time and effort. Lawyers who are versatile and skilled problem-solvers can often help parties forge a creative solution.

In those situations where a quick resolution cannot be found, and litigation is necessary, clients get a law firm that will focus on winning. When we appear in a case, our opponents know that they are facing an adversary that has the willingness and capability to see the matter through to verdict and to win. This is a rare capability in the present business litigation environment. It is no secret that most business litigators have no significant jury trial experience. At trial, a client's net worth may be in play, it's not a time for learning on the job.

The business law and transactional practice counsels businesses on all aspects of their enterprise, from day-to-day concerns to more significant issues. We provide our clients with a full range of legal services to meet all their corporate and business law requirements, including business entity formation, negotiation and drafting of contractual agreements, joint ventures, franchising and distributorships and general business transactions.

Selecting the appropriate form for your new business can impact your long-term success. We can guide you through the process and perform and analysis of the variety of potential entities that may be suitable for your business. We provide corporate advice on the most efficient form of business entity – corporation, limited liability company, partnership – and prepare the organizational documents, including shareholders’ agreements, limited liability company operating agreements, partnership and shareholder agreements, employment agreements and consulting agreements.
