Practice/Organization Description

I am a partner at Scarinci Hollenbeck, a New York metropolitan mid-sized firm, and serve as Co-Chair of the firm's Business Law Group and of the firm's Intellectual Property Group. Our firm's philosophy is to service our clients' broad array of needs by delivering quality results at legal rates that are highly competitive. We have put that philosophy into action by assembling a team of seasoned attorneys who all understand that the only way to succeed as a firm is to recognize that all clients demand and deserve quality legal product at a competitive value.

My core practice areas include business law, commercial transactions, corporate law, intellectual property and technology, commercial financing and real estate redevelopment.

I have served as counsel to clients in the following capacities:

- Primary outside counsel to major international commercial cards lender

- Lead counsel in significant merger and acquisition transactions

- Negotiate and draft commercial and technology-based agreements, including hardware and software licensing/development agreements, mobile technology agreements, cross-border licensing, VAR and OEM agreements, e-commerce agreements

- Represent clients in corporate matters, including stockholder agreements, operating agreements, corporate/LLC formation and maintenance

- Prosecute trademarks before the US Patent and Trademark Office

- Website-related legal representation, including website development agreements, terms of use, privacy policies, and website audits
