Represention of start-up and emerging-growth companies, principally in the software, smart-phone, biotech, telecommunications and electronic commerce fields.

I provide corporate clients assistance in addressing the myriad of issues involved in the sophisticated licensing agreements common in today’s global economy. From drafting software or technology licenses to negotiating agreements that address the exploitation of worldwide brands, provided clients substantive expertise in patents, trademarks, copyrights, trade secrets, and technology to help meet a client’s immediate business objectives and to anticipate broader enforcement and related issues as well as identifying and remedying revenue recognition concerns in various customer agreements and arrangements.

Counseling of employers and employees with respect to labor and employment law issues, including the Fair Labor Standards Act and state wage and hour laws, leaves of absence, the Family and Medical Leave Act, the Americans with Disabilities Act, the Occupational Safety and Health Act, the Older Workers Benefit Protection Act, the Sarbanes-Oxley Act and the Worker Adjustment and Retraining Notification Act, employee handbooks and employment policies, employment applications, employment and independent contractor agreements, affirmative action plans, disciplinary actions and termination decisions, workplace investigations, reductions in force and plant closings, and separation agreements.

Provision of in-house legal counsel to high technology and technology-related companies who seek corporate, securities, employment, transactional and intellectual property legal services on a temporary or part-time basis.
