Factual Background

–Case involves a for-profit corporation that owned and operated two private hospitals in St. Lucie County, Florida.

–The dispute arose between Lawnwood and the Medical Staff regarding concerns that the Board expressed with respect to two physicians.

–The Board attempted to suspend the privileges of the physicians unilaterally in violation of the Bylaws which actions were opposed by the Medical Staff.
