As a reminder, nonprofit organizations incorporated or operating in The Commonwealth of Massachusetts have until Friday, November 1, 2013 to file their annual reports with the Secretary of the Commonwealth. Nonprofit annual report forms may be downloaded from the Secretary’s website, or may be obtained from your lawyer at Foley Hoag. Nonprofit organizations may also register to electronically file their annual reports through the Secretary’s online filing system. The annual report filing fee is $15.00.
Compliance with annual report filings is particularly important, as nonprofits that fail to make filings for two consecutive years may be subject to an administrative dissolution. In 2012, hundreds of nonprofit organizations were administratively dissolved by the Secretary of the Commonwealth as a result of missed filings. Revival of an administratively dissolved nonprofit requires filing the delinquent annual reports and an application for reinstatement with the Secretary of the Commonwealth.
