Novelty does not mean better.  With the change from 2013 to 2014, California repealed, albeit unconstitutionally, the Beverly-Killea Limited Liability Company Act (former California Corporations Code sections 17000 – 17657), and installed in its place the California Revised Uniform Limited Liability Company Act” (California Corporations Code sections 17701.01 – 17713.13).  See California’s New LLC Act – Call Me Laocoon, But I Foresee A Mess!California’s Revised Uniform LLC Act – Countdown To Disaster?, and When The RULLCA Is Spun, California’s Done?

The Secretary of State has reacted to the new law by implementing new regulations regarding LLC names, eliminating name reservations by telephone prepaid account, and revising LLC related forms.  The revised forms include:

  • Articles of Organization (Form LLC-1)
  • Articles of Organization – Conversion (Form LLC-1A)
  • Certificate of Amendment (Form LLC-2)
  • Restated Articles of Organization (Form LLC-10)
  • Certificate of Continuation (Form LLC-8)
  • Application to Register a Foreign Limited Liability Company (Form LLC-5)
  • Amendment to Registration of a Foreign Limited Liability Company (Form LLC-6)
