Tax credit transferability has unlocked new opportunities to monetize tax credits for renewable energy and energy transition projects. However, it has also brought an array of lender considerations that did not appear in the relatively staid tax equity bridge loan structure. Lenders must now contend with whether (and how) to appropriately size a bridge loan against an uncommitted credit transfer, new borrower structures designed to minimize recapture risk and maximize tax benefits, forbearance requests during the recapture period, transferee avenues of recourse and more. This panel will examine these aspects of tax credit transferability and how lenders have addressed them in the current market.
