Take note: Adjustments to the reporting thresholds under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“Act”) will become effective on February 28, 2018. At that time, the minimum size-of-transaction threshold goes up to $84.4 million from its current threshold of $80.8 million. As a result of that change, starting on February 28, 2018, transactions valued below $84.4 million (as of the time of closing) will not be reportable. The size-of-parties thresholds will also increase from $16.2 million and $161.5 million to $16.9 million and $168.8 million, respectively, and transactions valued in excess of $843.9 million will be reportable regardless of the size of the parties. Civil penalties for violations of the Act will increase to a maximum of $41,484 per day.
